Progress Partners Advises Apriva on the Divestiture of Apriva ISS to ITC Federal

Boston, MA; Phoenix, AZ; and Fairfax, VA: Apriva LLC, a commercial payments technology company, has divested its government technology subsidiary, Apriva ISS, to ITC Federal (“ITC”), a Blue Delta Capital Partners portfolio company providing mission-critical IT solutions and enterprise services to national security, law enforcement and defense agencies. Apriva ISS will operate as ITC-ISS, a division of ITC Federal.

Apriva LLC will continue to operate its Apriva Payments division which provides gateway services, payment processing, connectivity and applications to the commercial sector.

Progress Partners, a full-service investment bank providing M&A, capital raising and strategic growth expertise for emerging technology and media companies, served as the exclusive financial advisor to Apriva in the divestiture of Apriva ISS.

The transaction was led by Tom Peltier, Managing Director, and the Progress Partners Defense and Government Technology team.

Based in Phoenix, Apriva ISS provides secure technology and communications solutions for customers operating across highly sensitive government environments. For more than two decades, the business has supported the federal law enforcement, defense, and intelligence sectors. Its capabilities span secure voice and data communications, systems engineering, authentication, secure connectivity and the integration and ongoing support of technology used in classified environments.

“Apriva ISS has built a strong business over more than two decades, supported by deep technical expertise and trusted relationships across critical government customers,” said David Riddiford, CEO of Apriva. “It was important to us to find a partner that understood the unique strengths of the business and could provide the platform and resources to support its continued growth. We believe ITC Federal is an excellent fit for the ISS team and its customers, and we’re excited to see what the union accomplishes together.”

“Our standard has always been straightforward: deliver secure communications that work wherever the mission takes our customers. That commitment will not change. Joining ITC Federal gives us the scale, resources and investment to build on more than two decades of trusted performance while expanding our impact across the Department of Defense, intelligence community and federal law enforcement,” said Brian McElroy, SVP and General Manager, ITC-ISS. “Together, we are creating new opportunities for our people, accelerating innovation for our customers and strengthening a capability that is more important than ever to national security missions.”

“ITC Federal is deeply committed to the law enforcement mission. Our acquisition of Apriva ISS will strengthen these relationships, especially at agencies like the FBI. The people, expertise and real, fielded solutions offered by ITC-ISS are based on twenty years building classified communications for the most demanding environments in government. Expertise like that does not come on the market often,” said Greg Fitzgerald, CEO, ITC Federal. “ITC-ISS brings CSfC depth and DOD experience to better support every customer we serve.”

“Apriva ISS has established a strong position in the government market through its specialized technical capabilities, experienced team and longstanding customer relationships,” said Tom Peltier, Managing Director at Progress Partners. “ITC Federal brings a complementary platform and the resources to help the business build on that foundation and continue expanding its impact across critical federal missions. We appreciate Apriva’s trust in Progress Partners and are pleased to have advised the company through this transaction.”

The transaction adds to Progress Partners’ more than 20-year history of advising technology companies through strategic M&A and growth initiatives. The firm’s sector expertise and relationship-driven approach support clients in navigating complex transactions and identifying outcomes aligned with their long-term strategic objectives.
